Company Secretary Job Description:


The job role encompasses the following key responsibilities:


Compliance: Ensuring adherence to the provisions of the Companies Act 2013, related regulations, and other applicable statutes and bylaws, including foreign exchange laws, Registrar of Companies (ROC) requirements, corporate governance principles, and secretarial standards.


Advisory Services: Providing guidance to companies on legal compliance, procedural aspects, matters pertaining to the Companies Act, labor and industrial laws, management, valuation, audit, legal document drafting, manpower planning, and development.


Secretarial Support: Offering secretarial assistance in managing the company's affairs, handling board-related matters, assisting with day-to-day administrative activities, and providing guidance to directors on their responsibilities. Assisting in obtaining necessary licenses and permissions under relevant laws.


Coordination: Coordinating, facilitating, convening, and conducting board meetings, committee meetings, annual general meetings, and extraordinary general meetings. Drafting agendas, resolutions, and meeting minutes in consultation with the Chairman and Managing Director.


Filings: Responsible for submitting balance sheets, profit and loss accounts, and registering company documents, forms, returns, and applications with the Registrar of Companies (RoC) or other competent authorities. Handling filings related to the creation, modification, and satisfaction of charges.


Record Maintenance: Maintaining records, including minutes of board and shareholder meetings, statutory registers (including the statutory share register), and other required statutory documents in accordance with the Companies Act 2013 and secretarial standards.


Stakeholder Communication: Engaging in communication with various stakeholders such as government entities, regulators, authorities, and managing industrial relations.


Authorization: Approving, signing, and sealing agreements, leases, legal forms, and other official documents on behalf of the company when authorized by the Board of Directors.


Miscellaneous Tasks: Handling any other company secretarial assignments, including ancillary tasks such as legal matters, audit support, accounting, report writing, and ensuring compliance with various statutory, regulatory, and reporting requirements.
